An agribusiness review may reveal expiring leases, discrepancies in rights records, liabilities or uncertainty over which assets are included. The due diligence report alone does not decide who will remedy a problem or what happens if it remains unresolved when control changes hands. The parties need to put that decision in the transaction documents: what the seller states, which exceptions it discloses, what must happen before closing and how completion will be evidenced.
This is a framework for negotiations, not a model agreement. Ukrainian counsel should tailor it to the transaction perimeter, documents, parties and governing law. For a broader review, see 15 questions before buying an agribusiness and land-bank due diligence.
01
Move from a finding to a contract decision
For every material finding, record six items: the risk, proposed response, required evidence, person responsible, deadline and agreed consequence if it remains unresolved. Some discrepancies can be cured before closing. Others may change the perimeter or price. A buyer may accept a disclosed risk only after agreeing how it will be allocated. A due diligence report is not a guarantee that no other risks exist.
| Identified risk | Possible contractual response | Document / evidence | Responsible party | Timing | Consequence to negotiate |
|---|---|---|---|---|---|
| Leases do not match registered rights | Clarify the perimeter, cure the discrepancy or set a closing condition | Leases, amendments and current rights records | Seller supplies; buyer verifies | Agreed date before closing | Defer, revise the perimeter or apply another agreed response |
| Unverified rent arrears | Disclose the amount, settle it or adjust the calculation | Accrual ledger, primary records and payment evidence | Seller and finance team | Before closing or another agreed time | Price adjustment or specific settlement mechanism |
| Encumbrance over machinery or real estate | Release it or agree on a transfer subject to it | Registry record, creditor documents and release evidence | Seller, creditor and advisers | Before transfer of the asset | Defer transfer, exclude the asset or use an agreed mechanism |
| Tax or litigation exposure remains uncertain | Make a specific disclosure and negotiate risk allocation | Notices, decisions, case materials and updated status | Seller supplies; advisers assess | At signing and refreshed before closing | Specific adjustment or protection if agreed |
| Corporate approval or a possible AMCU clearance | Define a closing condition where applicable | Corporate decision, legal assessment and clearance if needed | Parties and advisers | Before control transfers | Do not close until mandatory requirements are met |
These are fields for a negotiation matrix, not findings about a particular business. A remedy does not arise merely because a working table names it.
02
Define what the buyer is acquiring
Buying a participation interest in a Ukrainian limited liability company and buying selected assets involve different perimeters. In an equity transaction, the company continues to hold its contracts, debts, staff and property, subject to the agreed structure. An asset transaction requires the parties to identify each transferred right and asset, liabilities that move, and any consent, registration or new agreement needed. Do not import a hectare figure from a presentation without checking which entity is the tenant and whether that entity is included. See share deal or asset deal.
The agreement should identify the interests or assets, entities, exclusions, permitted changes between signing and closing, and evidence of transfer. Review the charter, shareholders’ agreements, signatory authority and applicable transfer procedures under Ukraine’s law on limited and additional liability companies.
03
What seller assurances can cover
“Warranties” is a familiar transaction shorthand, but Ukrainian contract language must be tailored to local law. Article 650-1 of the Civil Code of Ukraine provides for compensation for losses where a party intentionally or negligently made false statements about circumstances relevant to entering into, performing or terminating a contract, the other party relied on them and suffered resulting losses, unless the contract provides otherwise. The statements, disclosures, notice process and contractual protections need deal-specific drafting. A list of assurances alone does not establish the basis or amount of a claim.
The buyer may ask the seller to address authority and title to transfer, ownership structure, financial information provided, material debt and disputes, property rights, permits and the completeness of agreed disclosures. For the land bank, define the leases, expiries, registered rights, payments and claims covered. “All land is fine” is hard to test; tie the statement to a parcel register, a date and named documents. See the land lease review guide.
04
Disclose exceptions clearly
The seller may provide a negotiated disclosure schedule that identifies facts the buyer should consider. It should point to a contract, record or case and explain which assurance it qualifies. Giving access to a large data room does not, by itself, show that the buyer accepted every risk or gave up a remedy. The parties should agree what counts as adequate disclosure and how it affects price or liability. For document access, see confidentiality and the data room.
Liability limits, claim periods, minimum claim amounts, deferred consideration and retained price may be negotiated, but there is no universal cap, basket, survival period, escrow or holdback formula. Review each mechanism against the identified risk, evidence, tax treatment, financing and governing law. Do not transplant a foreign deal’s terms or figures without analysis.
05
Closing conditions and conduct between signing and closing
Signing may precede closing. If the parties use separate stages, define each condition, responsible party, acceptable evidence and deadline. Conditions may concern corporate decisions, release of security, corrections to land records, lender consent or merger clearance if required. Ukrainian counsel should assess whether a contractual condition can be waived or its deadline extended. A mandatory public-law approval cannot simply be replaced by the parties’ agreement.
Between signing and closing, define ordinary-course operation, limits on new debt and asset disposals, changes to leases, notice of material events and access to updated information. Recheck key assurances at the agreed closing date. If facts have changed, follow the mechanism agreed in the contract rather than assuming that an earlier statement remains accurate.
06
Corporate steps, registration and AMCU review
For an interest in a limited liability company, check the participants, charter, applicable pre-emption or other transfer restrictions, authority and documents needed to update the companies register. Real estate and land rights may require a different documentation and registration sequence. Counsel should map it before signing under the law on registration of legal entities and the law on registration of property rights.
Separately assess whether the proposed transaction constitutes a concentration and requires prior clearance by the Antimonopoly Committee of Ukraine. The answer depends on the parties, control, group structure and financial indicators under the competition law. The AMCU’s official guidance explains the process and preliminary conclusions. Neither “every acquisition needs clearance” nor “this acquisition never needs it” is a reliable general rule.
07
Land bank, liabilities and operating risks
Review the land bank parcel by parcel: cadastral numbers, tenant entities, terms, rights registration, amendments, rent payments and disputes. Reconcile registry information with leases and primary records. A lease held by a different group company cannot automatically be counted in the acquisition perimeter. Sellers may use the land-bank preparation guide.
Alongside land, examine loans and security, tax issues, machinery and encumbrances, inventory, permits, key contracts, employees, litigation and sanctions exposure. Decide whether each issue calls for an assurance, closing condition, price adjustment or perimeter change only after assessing the evidence. Prepare the seller’s document package before final negotiations.
08
Price, closing documents and the transition afterward
Agree the base price, any debt or working-capital adjustment, measurement date, source of figures and dispute procedure. Deferred payment, specific indemnity or another allocation of risk needs legal, tax and banking review. Do not promise that one clause will cover every future loss.
The closing package may include executed agreements and schedules, corporate approvals, registration documents, an agreed disclosure schedule, evidence that conditions were met, payment records, transfer certificates and access to operating systems. Its contents depend on the transaction structure. After closing, record the handover of management, notices to banks and counterparties, access changes, tax and registration steps, and obligations continuing after completion.

Questions to resolve before signing
- The presentation includes hectares, but tenant entities and verified rights are unclear.
- The parties disagree on what is included in the price or which debt remains in the company.
- Disclosures are not tied to particular assurances and supporting records.
- A closing condition has no owner, deadline or acceptable evidence.
- Signing is treated as completion although payment, registration or control transfer remains unresolved.
- Corporate approvals or a possible AMCU clearance are left until closing day.
LANDMARKET
Discuss the transaction structure confidentially
If you are buying or selling an agribusiness, LANDMARKET can coordinate an initial discussion of the asset perimeter, land bank, documents and transaction sequence. A region, approximate scale and preferred structure are enough to start. Discuss the transaction structure confidentially. Legal terms require review of the actual records with qualified advisers.
Frequently asked questions
Does a due diligence report replace seller assurances?
No. It records the scope and findings of a review. Assurances and other contract terms state what the parties agree to say and how false statements or changed facts will be handled.
Does a false assurance automatically produce compensation?
No. Article 650-1 links compensation for losses to a false statement made intentionally or negligently, reliance and resulting loss, unless the contract provides otherwise. The existence of an assurance alone does not establish those facts or the amount of loss; a specific dispute needs legal assessment.
Is signing the same as closing?
Not always. Conditions, payment, filings and control transfer may occur at a later stage. Dates and sequence must be agreed expressly.
Does an agribusiness acquisition need AMCU clearance?
Assess the participants, control and group figures. The fact that a business is being acquired does not yield a universal answer.
Do land leases automatically transfer when a business is bought?
First determine whether the buyer is acquiring an interest in the tenant company or selected assets and rights. The legal steps depend on that structure and the actual agreements, not the parcel list in a presentation.
